These Terms and Conditions govern the use of services provided by Axion Automation LTD, a Dhaka-based software company specializing in automation and custom software development.

1. Scope of Services

Axion Automation LTD provides software development, automation solutions, consultation, installation, training, and support services. The scope of each project will be defined in a separate written agreement or proposal.

2. Payment Terms

  • Payments must be made according to the schedule outlined in the official proposal or invoice.

  • Late payments may incur penalties or service interruptions.

  • All fees are non-refundable unless otherwise stated.

3. Client Responsibilities

  • The client agrees to provide timely access to relevant data, systems, and personnel required for project execution.

  • The client is responsible for reviewing and approving deliverables within agreed timelines.

  • Delays in feedback or required inputs may affect delivery schedules.

4. Intellectual Property

  • Custom software and related documentation developed for the client will become the property of the client upon full payment.

  • Axion Automation LTD retains the right to use reusable components or code libraries unless otherwise agreed.

5. Confidentiality

  • Both parties agree to maintain the confidentiality of sensitive information shared during the course of the project.

  • Confidential information will not be disclosed to third parties without written consent.

6. Warranty and Support

  • Axion Automation LTD provides a limited warranty on software functionality as specified in the project agreement.

  • Support and maintenance services will be provided as per the selected support plan or contract.

7. Termination

  • Either party may terminate the agreement with written notice if the other party breaches the terms and fails to remedy within a specified period.

  • Upon termination, all outstanding payments become due immediately.

8. Limitation of Liability

  • Axion Automation LTD will not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the delivered software.

  • Total liability will not exceed the total amount paid for the specific project.

9. Governing Law

These Terms and Conditions shall be governed by the laws of Bangladesh. Any disputes shall be resolved in the courts of Dhaka.
